Terms of purchase and license
Version 2.1 · 25 October 2026 (the product was renamed to Upgravo; the terms are otherwise unchanged). These terms cover Upgravo Pro. The free plugin is distributed under the GNU GPL v3 or later and is not subject to these terms.
The short version. You buy a yearly license for a number of sites. Freemius takes the payment and issues the invoice. You get the Pro download, updates and email support for a year. It renews automatically unless you cancel, which you can do at any time. Within 14 days you can get your money back if the product does not work for you and we cannot fix it. The scanner reads code; it cannot promise an upgrade will go smoothly, so test on a copy first. The rest of this page says the same thing in more detail.

1. Who you are dealing with
Upgravo Pro is developed and supported by Nicolás Alejandro Salinas, a self-employed developer established in Spain ("we", "us"). Purchases are processed by Freemius, Inc. ("Freemius") as the merchant of record: Freemius is the seller on your invoice, charges your payment method, collects and remits VAT or sales tax where applicable, and handles refunds. Your purchase is therefore governed by two documents: Freemius' terms of service for the transaction itself, and these terms for the license, the software and our support. If the two conflict on a point about the payment, Freemius' terms prevail; on any point about the software, these terms prevail.
2. Definitions
"Software" means the Upgravo Pro plugin, including updates we release during your license period. "License" means the yearly entitlement, identified by a license key, to activate the Software on a number of sites and to receive updates, Pro features and support. "Pro features" means the features not present in the free plugin: scheduled scans with email alerts, the client PDF report, the false-positive whitelist and multisite support. "Site" is defined in section 4. "Consumer" means a natural person acting for purposes outside their trade, business or profession; most buyers of Upgravo Pro are businesses or professionals, but where you are a consumer the protections noted in these terms apply to you.
3. What you get
3.1 Code license. The Software is licensed under the GNU General Public License v3 or later. You may run, study, modify and redistribute the code under the GPL. Nothing in these terms restricts the rights the GPL gives you over the code.
3.2 Service entitlement. What you pay for is not the code but the License: the Pro download, automatic updates through WordPress, the Pro features (which check the License), and email support, for the number of Sites in the plan you chose (1, 5 or unlimited), for one year from the date of purchase. The license key is personal to you (or to your business) and is what the Software uses to confirm that entitlement.
3.3 Delivery. Delivery is immediate and electronic: after payment Freemius emails you the download link and the license key, and both are also available in your Freemius account. There is nothing physical to ship.
3.4 Using it for clients. You may install and activate the Software on sites you build or maintain for your clients, within your Site quota. The License remains yours; you may not transfer, resell or sublicense the license key itself. If you stop maintaining a client's site, deactivate the License there (from the plugin's Account page or your Freemius account) and the activation becomes free for another Site.
4. What counts as a site
A Site is one WordPress installation on one domain where the License is activated. In a multisite network, each subsite counts as a Site: a network of twenty subsites needs a 20-site quota or the Unlimited plan. Local development installations (localhost, *.local, *.test, *.dev and similar) and common staging subdomains (staging.*, dev.* and hosting-specific staging domains) do not count toward your quota, as determined by Freemius' detection rules. You can see and free up your activations at any time in your Freemius account.
5. Price, taxes and payment
Prices are shown in US dollars on phpready.com and at checkout, and apply per year. They exclude VAT, GST or sales tax, which Freemius adds at checkout according to your billing country; businesses in the EU can enter a valid VAT number at checkout to apply the reverse charge. Payment is by card or PayPal through Freemius. The price you see at checkout, including tax, is the total amount charged; there are no additional fees from us.
6. Renewal and cancellation
6.1 Automatic renewal. The License is a yearly subscription. Unless you cancel, it renews automatically at the end of each license year and the then-current renewal price is charged to the payment method on file. Freemius emails you a reminder before each renewal.
6.2 Cancelling. You can cancel the renewal at any time, with no notice period and no fee: from the links in your purchase or reminder emails, from your Freemius account, or by writing to support@phpready.com. Cancelling stops future charges; the License stays active until the end of the year already paid.
6.3 Price changes. If the renewal price for your plan is going to be higher than what you last paid, we will tell you by email at least 30 days before the renewal date, and you can cancel before it takes effect. If you do nothing, the new price applies to the renewal.
6.4 After expiry. When the License expires or is cancelled and not renewed, the Pro features and updates stop. The Software keeps working as the free version does (manual scans, CSV, Site Health, WP-CLI), and nothing you created is deleted. You can renew later from your Freemius account, with no penalty, to restore the Pro features.
7. Refunds and right of withdrawal
7.1 Our 14-day guarantee. If within 14 days of a purchase or a renewal the Software does not work on your site and our support cannot fix it, we refund the full amount of that payment. Write to support@phpready.com or reply to the purchase email, describe the problem, and give us a reasonable chance to solve it; most problems are solved within a couple of exchanges. Refunds are issued by Freemius to the original payment method.
7.2 After 14 days. Beyond 14 days we do not offer refunds, including for unused time after a cancellation. Cancelling a renewal is always free and immediate (section 6.2), so an unwanted renewal charge is best avoided by cancelling before the reminder date; if a renewal was charged by mistake and you contact us within 14 days of the charge, section 7.1 applies.
7.3 Statutory right of withdrawal (consumers). If you are a consumer in the European Union or another jurisdiction with a similar rule, you may have a statutory right to withdraw from a distance purchase within 14 days without giving a reason. For digital content delivered immediately by download, that right is lost once delivery has begun with your express consent and acknowledgement, which the checkout asks for. Where the right still applies, it is in addition to, not instead of, the guarantee in 7.1, and nothing in these terms limits it.
8. Support and updates
8.1 What support covers. Email support at support@phpready.com, in English or Spanish, for installing, activating and using the Software and for defects in it. We aim to answer within two business days (Monday to Friday, Spanish time) and usually faster. Support is provided by the developer himself.
8.2 What it does not cover. Fixing or rewriting third-party plugins or themes that the scan flags; performing the PHP upgrade on your hosting; custom development; and questions about sites where the License is not active. We are happy to point you in the right direction, but that work is outside the License.
8.3 Updates. While the License is active, updates (new features, compatibility with new WordPress and PHP versions, and bug fixes) are delivered through the normal WordPress updates screen. We decide what goes into updates; we do not promise any specific feature or date. Security fixes, if ever needed, are released as updates in the same way.
9. What you may and may not do
Beyond what the GPL allows for the code, you agree not to: share, publish or sell your license key; use it on more Sites than your quota allows by circumventing the activation count; use the Software or our support to harass, spam or attack others; or present the Software as your own product. The code remains free software; these restrictions concern the License and the service, not the code.
10. Third-party components
The Software includes PHP_CodeSniffer (BSD-3-Clause), PHPCompatibility and PHPCSUtils (LGPL-3.0-or-later), FPDF (MIT) and the Freemius WordPress SDK (GPL-3.0). Their licenses are included in the download and apply to those components. The analysis rules come from the PHPCompatibility project; their accuracy depends on that project's rules as well as on our filtering.
11. Your data
What Freemius collects at checkout, what the Software sends to Freemius to validate the License, and the fact that no scan result or code ever leaves your server are described in the privacy policy, which forms part of these terms. If you are a business and use the Software on your clients' sites, you remain responsible for your own obligations toward your clients; the Software processes no personal data of site visitors.
12. What the product does and does not promise
12.1 What it does. Upgravo performs a static analysis of the PHP code installed on your site against the known incompatibilities of the PHP version you select, and reports what it finds, classified by severity. It runs on your own server and does not modify your site.
12.2 What it cannot do. A static analysis cannot execute your site. Problems that only appear at runtime, incompatibilities not yet catalogued by the PHPCompatibility rules, code generated dynamically, and server configuration are outside its reach. A result of "nothing breaks" means "nothing the analyzer can see breaks", not a guarantee that the upgrade will succeed. It may also report findings that turn out to be harmless (false positives). You remain responsible for testing on a staging copy and keeping a backup before changing the PHP version of a production site.
12.3 Warranty. We warrant that the Software will perform substantially as described on phpready.com and in the plugin during the License period, and we will fix reproducible defects through updates. To the maximum extent permitted by law, the Software is otherwise provided "as is", without any other warranty, express or implied, including fitness for a particular purpose. If you are a consumer, you also have the statutory conformity rights for digital content under the law of your country, and nothing here reduces them.
13. Limitation of liability
To the extent permitted by law: (a) we are not liable for indirect or consequential loss, lost profits, lost data, downtime, or the cost of restoring a site after a PHP upgrade; and (b) our total liability arising from the Software or the License, whatever the legal basis, is limited to the amount you paid for the License in the 12 months before the event giving rise to the claim. Nothing in these terms excludes or limits liability that cannot be excluded by law, including liability for fraud, wilful misconduct or gross negligence, or a consumer's statutory rights.
14. Termination
We may suspend or revoke a License, without refund, if the license key is shared or sold, if the activation count is circumvented, or if a payment is reversed or charged back; we will tell you why by email and give you a chance to explain first, except in clear cases of abuse. You may stop using the Software at any time; cancelling is described in section 6. Sections 3.1 (your GPL rights), 12, 13 and 16 survive termination.
15. Changes to the product and to these terms
We may change the Software over time; we will not remove a Pro feature you paid for during your current License year without offering an equivalent. We may update these terms; if a change materially reduces your rights, we will email you at least 30 days before it takes effect, and you can cancel the renewal before then. The version that applies to a purchase is the one published at the time of that purchase or renewal; earlier versions are available on request.
16. Governing law and disputes
These terms are governed by the laws of Spain. If you are a business, the courts of Alicante, Spain, have exclusive jurisdiction. If you are a consumer, you keep the protection of the mandatory rules of the country where you live, and you may bring a claim in the courts of that country; we will also try to resolve any dispute informally first, by email, and we commit to answering a complaint within 15 days. Disputes about the payment itself (a charge, a refund, an invoice) are handled by Freemius as the merchant of record.
